For the purposes of these Reseller Terms and Conditions (“Reseller Terms”):
By registering as a Reseller with NowOn Digital, you (“the Reseller”) agree to the following Reseller Terms. These Reseller Terms apply in addition to the NowOn Digital General Terms and Conditions (“General Terms”), which remain fully binding. In the event of conflict, these Reseller Terms prevail for matters specifically related to reseller activities.
1.1 Resellers are authorized to distribute NowOn Digital services to their End Clients.
1.2 End Clients remain subject to the General Terms, which apply to their use of NowOn Digital services.
1.3 The Company is not a party to any agreement between the Reseller and its End Clients.
1.4 Each Reseller shall receive access to the NowOn Digital website builder in a dedicated folder under the brand name chosen at subscription.
1.5 The use of the Dedicated Builder is the sole condition for payout eligibility. Websites created through the regular (non-branded) builder are not eligible for Reseller payouts.
2.1 Option 1 and Option 2 are annual subscription plans, valid for one (1) year from activation.
2.2 Prior to expiration, the Company shall issue a renewal notice. Renewal requires confirmation and payment by the Reseller.
2.3 Option 3 (“Brand Empire”) is a one-time setup fee covering full deployment under the Reseller’s brand. It excludes recurring costs related to infrastructure platforms, third-party payment processors, and domains.
3.1 For Option 1, Resellers must secure at least one (1) End Client within seven (7) days of subscription activation. Failure to do so shall result in automatic termination of the Reseller account without refund or further notice.
3.2 For Option 2, Resellers must secure at least one (1) End Client within fourteen (14) days of subscription activation. Failure to do so shall result in automatic termination of the Reseller account without refund or further notice.
3.3 Once the initial inactivity requirement is satisfied by onboarding at least one (1) End Client, the Reseller account shall remain valid for the remainder of the subscription year, regardless of further inactivity.
3.4 Termination under this section does not affect the validity of services already deployed to End Clients, which shall remain hosted for their respective subscription periods.
4.1 Resellers’ End Clients may build websites using the Reseller’s Dedicated Builder, with the same functionalities available to direct NowOn Digital clients.
4.2 End Clients may select a subdomain and submit special requests in accordance with the procedures applicable to direct clients.
4.3 The Instagram Publisher and Reservation add-ons remain available upon request, subject to confirmation and approval by NowOn Digital.
4.4 The Company reserves sole discretion to confirm or deny access to such add-ons for Resellers’ End Clients.
5.1 For Option 3, the Company shall complete setup within twenty-four (24) hours following domain configuration by the Reseller.
5.2 Option 3 includes setup exclusively in Cloudflare and Stripe. Setup in alternative platforms may be provided at additional costs, determined in subsequent email communication.
5.3 Upon delivery, the Reseller assumes full and exclusive responsibility for all subsequent activities, configurations, and operations performed on the infrastructure.
5.4 The Company strongly recommends immediate password changes after delivery.
5.5 Support for Option 3 is strictly limited to NowOn Digital code (website builder components). The Company bears no liability for issues arising from third-party infrastructure, platforms, or external services.
5.6 Given Cloudflare’s pricing, the project will start under a free plan for initial End Clients, but this may involve ongoing costs. These may begin at approximately USD $25–30/month for Cloudflare’s paid plan, and may increase depending on usage.
6.1 Resellers must educate End Clients regarding their responsibility for website content and compliance with applicable laws.
6.2 Resellers must ensure the validity and accessibility of all email addresses provided for support and communications.
6.3 End Clients remain solely responsible for their published content. Any prohibited use or content (as defined in the General Terms) will be enforced by the Company directly, without liability to the Reseller.
6.4 Resellers may not misrepresent the scope of Company services or offer guarantees inconsistent with these Terms.
7.1 All payments to the Company must be made in accordance with the selected option (annual or one-time).
7.2 Payouts to Resellers shall only be due for End Clients who subscribe using the Dedicated Builder.
7.3 Resellers become eligible for payouts only after successfully completing their Stripe account setup. If the Stripe onboarding link expires, the Reseller may request a new link. Until completed, the Reseller account will remain marked as restricted within Stripe, and no payouts shall be made by the Company.
7.4 Support for Resellers is provided exclusively through the designated email address supplied during onboarding.
7.5 Option 3 Resellers receive priority handling. All reasonable efforts will be made to provide expedited support.
7.6 End Clients of Resellers receive support under the same conditions as direct Company clients.
7.7 Any payment issues, disputes, or delays within Stripe are the sole responsibility of Stripe. The Company may provide assistance but offers no guarantees regarding resolution.
8.1 The Company provides native integration with Stripe only.
8.2 Resellers implementing alternative payment solutions do so entirely at their own risk and responsibility.
8.3 The Company shall not provide support or assume liability for any third-party payment systems integrated by the Reseller.
9.1 In the event of an incident or outage, the Company undertakes reasonable efforts to restore services. However, no guarantees of recovery or continuity are made.
9.2 For Option 3, once infrastructure is delivered, the Company bears no responsibility for subsequent incidents, outages, or security events.
9.3 The Company reserves exclusive authority to determine whether an issue qualifies as its responsibility.
10.1 If a Reseller under Option 1 or Option 2 fails to renew, existing End Clients will retain hosting services until the expiration of their respective one-year periods.
10.2 End Clients of non-renewing Resellers may directly renew with NowOn Digital and shall be treated as Company clients under the General Terms.
11.1 The Company disclaims all liability for losses, damages, or claims arising from:
- (a) End Client content or misuse of services,
- (b) Reseller misrepresentation or omissions,
- (c) Failures, downtime, or malfunctions in third-party infrastructure or platforms.
11.2 Resellers agree to indemnify and hold harmless the Company against any claims, damages, or proceedings initiated by End Clients or third parties due to Reseller actions or omissions.
12.1 The Company may amend these Reseller Terms at any time without prior notice.
12.2 Continued use of the Reseller program constitutes full acceptance of the amended Terms.
13.1 These Reseller Terms shall be governed exclusively by the laws of Canada.
13.2 Any dispute, claim, or proceeding shall be submitted exclusively to the competent courts of Quebec, Canada, unless otherwise required by applicable federal law.
